These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by Thinkmatter Technologies Private Limited ("Thinkmatter", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, downloading our applications, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
2. Description of Services
Thinkmatter Technologies provides:
- Luma: An AI-powered voice journaling application that enables users to journal through voice conversations, with features including AI-guided sessions, long-term memory, and personalized insights.
- Consulting Services: GenAI strategy, custom AI solution development, LLM integration, and AI workflow automation services for businesses, provided under separate engagement agreements.
3. User Accounts
To use certain features of our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Notify us immediately of any unauthorized access to your account
- Not share your account credentials with third parties
4. Subscriptions and Payments
Certain Services, including Luma, are available on a subscription basis. By subscribing, you agree to the following:
- Free Trial: We may offer a free trial period. If you do not cancel before the trial ends, you will be charged the applicable subscription fee.
- Billing: Subscription fees are billed in advance on a recurring monthly basis. Your payment method will be automatically charged at the beginning of each billing period.
- Price Changes: We reserve the right to change subscription prices with reasonable notice. Price changes will take effect at the start of the next billing period.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
- Refunds: Refund requests are handled on a case-by-case basis. Contact us within 14 days of a charge for refund consideration.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble any aspect of the Services
- Use the Services for any commercial purpose not expressly permitted
- Use automated means to access the Services without our prior written consent
6. User Content
You retain ownership of content you create through the Services, including your journal entries and voice recordings ("User Content"). By using the Services, you grant us a limited license to process, store, and analyze your User Content solely for the purpose of providing and improving the Services.
We do not claim ownership of your User Content, and we do not use your User Content to train AI models for purposes unrelated to providing the Services to you.
7. Intellectual Property
The Services, including all software, design, text, graphics, logos, and other materials (excluding User Content), are the property of Thinkmatter and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure. AI-generated insights and responses are for informational purposes only and should not be considered professional advice (medical, legal, psychological, or otherwise).
9. Limitation of Liability
To the maximum extent permitted by applicable law, Thinkmatter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of (or inability to use) the Services
- Any conduct or content of any third party on the Services
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability for any claims relating to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Thinkmatter, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Akola, Maharashtra, India.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
